2009 Camp Direct Placement Fee Agreement

This is to confirm the direct placement fee agreement between The Camp ("Client") and RecStaffing, LLC.

In consideration for services rendered to client by RecStaffing, LLC in the direct placement and hiring by client of a RecStaffing, LLC referral, Client agrees to the following fee schedule:

• $200 per counselor applicant hired for the 2009 camp season
• $500 per nurse applicant hired for the 2009 camp season
• $500 per chef applicant hired for the 2009 camp season
• $500 per college coach applicant hired for the 2009 camp season

The fee for RecStaffing, LLC's services is earned by your company or any of its affiliates, as a result of our efforts to place a candidate, directly or indirectly within one year of our referral.

Guarantee

If the employment of the hired candidate terminates for any lawful reason within the first fifteen (15) days after commencing employment, RecStaffing, LLC, at the option of the client, will endeavor to find a replacement at no additional cost to the client. If no replacement is necessary, RecStaffing, LLC will issue a credit of the full fee for any direct hire placement within 365 days.

Terms

Client agrees to pay the net due upon receipt of invoice(s), which will be issued after the employee has been hired. If the payment terms are not met within thirty (30) days from the date of the invoice, the guarantee contained herein will be void and a 1½% per month (18% per annum) finance charge shall accrue on the unpaid balance. Client specifically agrees to pay the finance charge and any other reasonable costs, including legal fees, incurred by RecStaffing, LLC in its attempts to collect the amount due. This is to confirm that the undersigned Client understands and agrees to the terms and conditions of the foregoing.
